1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and JASON CARL MORGAN LIMITED, trading as Code Agents™ (Company No. 07856110), ("we", "us", or "our") governing your access to and use of our website at codeagents.co.uk and related services.
By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.
2. Description of Services
Code Agents™ provides AI-assisted software development services, including:
- Free project planning: create and refine unlimited project briefs at no cost
- Continuous development on a subscribed project
- Daily iteration updates with progress reports
- A feedback system for you to guide development
- Paid subscription plans for ongoing development
- Source code access for subscribers (Monthly or Annual plans)
- AI-powered marketing tools, including carousel and slide generation
- Hosting for deployed projects
3. Account Registration
To use our services, you must:
- Be at least 18 years old
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly update any changes to your information
- Accept responsibility for all activities under your account
We reserve the right to suspend or terminate accounts that violate these Terms.
4. Free Project Planning
Creating an account and planning projects is free:
- No payment or credit card is required to register or to create project briefs
- You may create and refine as many project briefs as you wish
- Development does not begin until you take out a paid subscription for that project
- We may remove inactive accounts and unsubscribed project briefs after a period of inactivity, with notice
Projects created under previously available one-off build purchases or promotional free trials retain the access granted at the time of purchase. Those offers are no longer available to new customers.
5. Paid Subscriptions
5.1 Pricing and Plan Details
Paid subscription plans are available at:
- Monthly (£999/month): 30 days of development on one active project, with no minimum contract. Includes unlimited iterations, daily progress updates, and full source code access.
- Annual (£9,990/year): Everything in the Monthly plan for a full year on one active project, plus 2 months free.
Prices are in British Pounds (GBP) and are subject to change with notice.
5.2 One Active Project per Subscription
Every subscription, including Annual, covers a single active project at a time. To have more than one project in active development, a separate subscription is required for each.
You may move a subscription from one of your projects to another once per billing cycle from your billing dashboard. When a subscription is moved:
- Active development on the previous project stops immediately
- The previous project remains live and hosted, and the work already delivered remains yours
- A further move is not available until your next billing cycle begins
5.3 Payment
Payments are processed securely through Stripe. By subscribing, you authorise us to charge your payment method on a recurring basis until cancelled.
5.4 Cancellation
You may cancel your subscription at any time through your account dashboard or by contacting us. Upon cancellation:
- You retain access until the end of your current billing period
- No refunds are provided for partial billing periods
- Your existing project and code remain yours
- Active development and iterations will cease
5.5 Delivery Commitment
While a subscription is active, development runs on a 24-hour cycle. After we post an iteration update you have 24 hours to submit feedback. When that window closes your feedback is committed to the build and we have 24 hours to deliver the next iteration. If you submit no feedback, the window resets and no development time is lost.
This cycle may pause where we are waiting on information, access, or a decision from you, or during scheduled maintenance and public holidays notified in advance.
5.6 Hosting After Cancellation
Deployed projects remain live on our hosting at no cost after a subscription ends. This is provided on the following basis:
- Hosting covers the application as delivered; it does not include further development, monitoring, or support
- We may migrate the application to different infrastructure, and will give at least 30 days' notice before withdrawing hosting for any project
- We may suspend hosting immediately where a project is unlawful, abusive, or consumes disproportionate resources
- You are responsible for keeping your own copy of the source code; subscribers have Git access for this purpose
6. Intellectual Property
6.1 Your Content
You retain ownership of all content, ideas, and materials you provide to us ("Your Content"). By submitting Your Content, you grant us a licence to use it solely for providing our services to you.
6.2 Deliverables
For all users with a project:
- You may use AI marketing tools to generate content; you own the content you create
For Monthly (£999/month) and Annual (£9,990/year) subscribers:
- You own the custom code we develop specifically for your project
- You receive full source code access via Git repository
- You may use, modify, and distribute your code without restriction
For customers on legacy one-off builds and promotional free trials:
- You receive a working deployed product
- Free hosting for the deployed application
- Source code/Git repository access requires a subscription
6.3 Our Property
We retain ownership of:
- Our proprietary tools, systems, and processes
- Generic code libraries and frameworks we use
- The Code Agents™ brand, logo, and website
7. Acceptable Use
You agree not to use our services to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights of others
- Build products that are illegal, harmful, or promote hate
- Transmit malware, viruses, or malicious code
- Attempt to gain unauthorised access to our systems
- Interfere with or disrupt our services
- Resell or redistribute our services without permission
We reserve the right to refuse service for projects we deem inappropriate.
8. Service Delivery
We commit to:
- Providing daily iteration updates during active development
- Incorporating your feedback into subsequent iterations
- Providing 7 days of active development on your project
- Maintaining reasonable uptime for hosted projects
We do not guarantee that:
- Services will be uninterrupted or error-free
- All requested features will be technically feasible
- Specific results or outcomes will be achieved
9. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
- We are not liable for indirect, incidental, special, or consequential damages
- We are not liable for loss of profits, data, or business opportunities
- We are not liable for third-party services or integrations
Nothing in these Terms excludes liability for death, personal injury, or fraud.
10. Indemnification
You agree to indemnify and hold harmless Code Agents™ and JASON CARL MORGAN LIMITED from any claims, damages, losses, or expenses arising from:
- Your use of our services
- Your violation of these Terms
- Your violation of any third-party rights
- Content or materials you provide
11. Confidentiality
We treat your project information as confidential and will not disclose it to third parties except:
- With your consent
- To provide our services (e.g., hosting providers)
- As required by law
You agree not to disclose our proprietary processes or pricing structures.
12. Termination
We may suspend or terminate your access to our services:
- For violation of these Terms
- For non-payment of subscription fees
- If required by law
- At our discretion with reasonable notice
Upon termination, your right to use our services ceases immediately, but provisions regarding intellectual property, limitation of liability, and indemnification survive.
13. Dispute Resolution
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Before initiating legal proceedings, you agree to attempt to resolve disputes through good-faith negotiation by contacting us.
14. Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes by:
- Posting updated Terms on our website
- Sending email notification to registered users
Continued use of our services after changes constitutes acceptance of the modified Terms.
15. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and us.
- Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
- Waiver: Failure to enforce any right does not waive that right.
- Assignment: You may not assign these Terms without our consent.
